Terms of Service
The agreement between you and the operator of Old North Ledger. Please read it carefully — using the service means you accept these terms.

1. Acceptance of these terms
These Terms of Service (the “Terms”) are a binding agreement between you and Material Systems LLC (“Material Systems LLC,” “we,” “us,” or “our”), the operator of Old North Ledger (the “service”). By creating an account, accessing, or using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.
If you use the service on behalf of a campaign committee or other organization, you represent that you are authorized to accept these Terms on its behalf, and “you” includes that organization.
2. Description of the service
Old North Ledger is a tool that helps the treasurer of a North Carolina campaign committee record financial activity, run compliance checks, and generate and file the disclosure reports required by North Carolina campaign finance law. It supports candidate committees, political action committees, and political party committees.
The service helps you record receipts and expenditures, import bank and contribution data, reconcile transactions, track contribution limits and other requirements, and produce the electronic filing file (a CFD file) and cover sheet for submission to the appropriate board of elections. Features may change over time.
3. Not legal, accounting, or compliance advice
The service is designed to help you keep accurate records and produce filings that are consistent with North Carolina campaign finance law, and it surfaces potential issues rather than silently proceeding. However, you — the treasurer — remain solely legally responsible for the accuracy, completeness, and timeliness of every report, signature, and disclosure you make. You are responsible for reviewing everything before you file it.
North Carolina imposes real consequences for non-compliance. State law authorizes civil penalties for late, incomplete, or inaccurate reports (including per-day late-filing penalties and penalties assessed as a percentage of amounts not properly reported), and other enforcement actions. We do not assume, and expressly disclaim, any responsibility for such penalties. For the governing rules, consult the North Carolina State Board of Elections Campaign Finance Manual and, when in doubt, your committee’s own legal counsel or your board of elections.
4. Eligibility & accounts
You must be at least 18 years old and capable of forming a binding contract to use the service. You are responsible for the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly at support@oldnorthledger.com if you suspect unauthorized use.
The service is operated as a shared deployment. A designated super user (the operator or its administrator) manages shared reference data — such as election calendars and filing jurisdictions — and may access committee data as needed to operate, support, and troubleshoot the service. How we handle that access is described in the Privacy Policy.
5. Acceptable use
You agree not to:
- use the service to record, generate, or file information you know to be false, or to evade campaign finance requirements;
- upload or enter data you are not authorized to use, or that infringes the rights of others;
- attempt to gain unauthorized access to the service, other committees’ data, or the underlying systems;
- interfere with, disrupt, probe, or overload the service, or circumvent any security or access controls;
- reverse engineer, resell, or use the service to build a competing product except to the extent this restriction is prohibited by law; or
- use the service to violate any applicable law or regulation.
6. Third-party services
The service integrates optional third-party services to help you bring in data and communicate. When you choose to use one, you authorize us to exchange the necessary data with that provider on your behalf, and your use is also subject to that provider’s own terms:
- Plaid — if you connect a bank account, to retrieve account and transaction information.
- ActBlue — if you enable it, to import your own committee’s contribution data.
- Resend — to deliver report-filing and alert emails.
We are not responsible for the availability, accuracy, or acts of third-party providers. Credentials you provide for these integrations are stored encrypted and are never included in exports or logs.
7. Data & your records
As between you and us, your committee’s data belongs to you. We claim no ownership of the records you enter or import. You grant us only the limited license needed to host, process, and display that data in order to provide the service to you.
You can export your committee’s records at any time from within the service. You are responsible for retaining your own copies of your records as required by law; see the Privacy Policy for how long we retain data and how the state’s two-year retention requirement applies.
8. Disclaimers of warranty
The service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the service will be uninterrupted, error-free, or secure; that defects will be corrected; or that the service, its compliance checks, or any generated filing will meet your requirements or be accepted by any board of elections. You are responsible for verifying your data and your filings.
9. Limitation of liability
To the fullest extent permitted by law, Material Systems LLC and its owners, members, and personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or for any civil penalties, fines, or enforcement costs arising from or related to your campaign finance filings, however caused and under any theory of liability, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the service or these Terms will not exceed the greater of the amounts you paid us for the service in the twelve months preceding the claim, or one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain of these limitations, in which case they apply to the fullest extent permitted.
10. Indemnification
You agree to indemnify, defend, and hold harmless Material Systems LLC and its owners, members, and personnel from and against any claims, liabilities, damages, losses, penalties, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the service, your data, your filings, or your violation of these Terms or of any applicable law.
11. Termination
You may stop using the service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required to protect the service or other users, or if we discontinue the service. Before access ends, you should export any records you wish to keep. Sections that by their nature should survive termination — including sections 3 and 7 through 10 — will survive.
12. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, provide additional notice. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
13. Governing law
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in North Carolina will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service, and you consent to venue in those courts.
